PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. BY CLICKING “I ACCEPT” OR “I AGREE” OR BY DOWNLOADING, INSTALLING, OR OTHERWISE USING THE SERVICES (AS DEFINED BELOW), YOU ACCEPT AND AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT CLICK “I ACCEPT” OR “I AGREE” OR DOWNLOAD, INSTALL, OR USE THE SERVICES. 

CAREAXES (“CAREAXES,” “we,” “us,” “our,” or “Company”) operates the website www.careaxes.com (“Website”) and the CAREAXES mobile application available on Google Play Store and Apple App Store (“Mobile App”). CAREAXES provides an online cloud-based platform connecting patients with care providers, including hospitals, clinics, doctors, pharmacies, diagnostic labs, imaging centers, blood banks, organ banks, and ambulance services, as detailed on the Website. 

These Terms and conditions and any other policy we formulate together constitute a legal agreement between you, the End-User, and CAREAXES (“Agreement” or “Terms”). These Terms apply to all visitors, users, and any other persons who use the Services. They are published per Rule 3 (1) of the Information Technology (Intermediaries Guidelines) Rules, 2011. 

Definitions 

Unless the context requires otherwise, capitalized terms used herein but not defined shall have the meanings ascribed to them in the Privacy Policy. 

  1. “Affiliate(s)”: A person that directly or indirectly controls, is controlled by, or is under common control of a Party. 
  1. “Applicable Laws” or “Law”: Any statute, regulation, ordinance, rule, judgment, order, decree, by-law, approval of any Government Authority, directive, guideline, policy, requirement, or similar form of decision by any Government Authority having jurisdiction. 
  1. “Application Store(s)”: Mobile application stores, including Google Play Store and Apple App Store. 
  1. “Ambulance(s)”: Ambulance services listed on the Platform. 
  1. “Blood Bank(s)”: Blood banks listed on the Services. 
  1. “Chemist(s)”: Chemists registered on the Services who dispense medicines to Registered Users based on ePrescriptions. 
  1. “Control”: As defined in section 2 (27) of the Companies Act, 2013, and its derivatives. 
  1. “Deficiency”: Any fault, defect, or inadequacy in the quality, nature, and manner of services provided by Healthcare Service Providers or the Platform. 
  1. “End-User(s)”: Patients or their representatives searching for Healthcare Service Providers using the Services. 
  1. “ePrescription”: Electronic prescriptions sent to patients, pharmacies, and healthcare providers. 
  1. “Government Authority”: Any government, governmental agency, or body exercising administrative, executive, judicial, legislative, regulatory, or taxing authority. 
  1. “Grievance Officer”: As defined in Clause 21.1. 
  1. “Health Profile”: A profile created by a Registered User on the Platform detailing medical history and information. 
  1. “Healthcare Service Providers”: Practitioners, hospitals, blood banks, labs, imaging centers, chemists, and other providers listed on the Platform. 
  1. “Hospital(s)”: Hospitals, clinics, or nursing homes listed on the Platform. 
  1. “Imaging Center(s)”: Imaging centers listed on the Platform providing diagnostic services. 
  1. “Intellectual Property Rights” or “IPR”: All copyrights, patents, database rights, trademarks, designs, know-how, and confidential information related to the Platform or Company. 
  1. “Lab(s)”: Laboratories listed on the Platform collecting patient samples for tests. 
  1. “Lab Test(s)”: Pathological and diagnostic tests conducted by labs on collected samples. 
  1. “Losses”: All losses, damages, costs, expenses, payments, charges, and other liabilities. 
  1. “Non-Registered User(s)”: End-Users who have not registered on the Website, Mobile App, or Services. 
  1. “Parties”: Collectively the End-User and the Company. 
  1. “Party”: Either the End-User or the Company. 
  1. “Payment Gateway”: Electronic payment service for processing payments on the Platform. 
  1. “Person”: Any individual or entity, including government authorities. 
  1. “Platform”: The Website and the Mobile App. 
  1. “Practitioner(s)” or “Healthcare Practitioner(s)” or “HCP(s)”: Medical practitioners registered on the Services, including their representatives: 
  1. Booking appointments using the Services. 
  1. Providing information to Registered Users. 
  1. Consulting privately via audio, video, text chat, or in-person. 
  1. Generating health-related information for general use. 
  1. “Registered User(s)”: End-Users registered on the Website, Mobile App, or Services. 
  1. “User(s)”: Any user of the Website, Mobile App, or Services. 

Interpretation 

  1. Headings are for convenience and do not affect construction. 
  1. References to one gender include all genders. 
  1. References to clauses and schedules are to those of this document. 
  1. References to statutes or laws include amendments and modifications. 
  1. Singular includes plural and vice versa. 
  1. Terms like “herein,” “hereof,” and “hereunder” refer to this document as a whole. 
  1. Days are inclusive of the first and last unless the last day is not a Business Day. 
  1. Time is of the essence for the performance of obligations. 
  1. References to persons include individuals and entities. 
  1. References to agreements or documents include amendments or variations. 
  1. Schedules, annexures, and exhibits form an integral part of this document. 

Definition of Services 

  1. CAREAXES operates the Website and Mobile App, providing a cloud-based platform connecting End-Users with Healthcare Service Providers. 
  1. Healthcare Service Providers connect with Users through the CAREAXES Services on their devices. 
  1. CAREAXES does not guarantee uninterrupted or error-free Services and is not liable for any Loss arising from such issues. 
  1. User Registration: 
  1. End-Users must provide their full name, mobile number, email ID, password, and other required information to create an account. Verification is done via a one-time password sent by SMS. 
  1. Registered Users are responsible for maintaining the security of their Login Details and any actions taken using their account. CAREAXES may refuse registration without providing reasons. 
  1. Registered Users can: 
  1. View profiles of Practitioners. 
  1. Book in-person or remote consultations. 
  1. Make payments for consultations. 
  1. Manage appointments and Health Profile. 
  1. View contact details of nearby Hospitals, Labs, Chemists, Imaging Centers, and Blood Banks. 
  1. Non-Registered Users can: 
  1. View generic information and profiles of Practitioners. 
  1. View contact details of nearby Hospitals, Labs, Chemists, Imaging Centers, and Blood Banks. 
  1. Consultation records are stored on CAREAXES’s servers and are subject to the Privacy Policy. 
  1. Notification reminders for appointments are provided but not guaranteed. Users can disable reminders. 
  1. Communication regarding the Health Profile will be sent to the contact details provided. Users must update their contact information to avoid loss or inconvenience. 

Agreement 

  1. The End-User agrees to abide by the terms of this Agreement when using any Services or registering on the Platform. 
  1. CAREAXES reserves the right to control access to the Website, Mobile App, and Services at its sole discretion and may terminate this Agreement at any time. 

Right to Amend 

  1. No term or condition of this Agreement may be changed without the prior written consent of the Company. Any amendments will be binding on all parties. 
  1. The Company may modify the terms of this Agreement at any time with written or electronic notice to End-Users. If an End-User does not accept the changes, they may terminate the Agreement with a 15-day written notice. Continued use of the Platform or Services after modifications constitutes acceptance of the changes. 

Terms of Use 

  • End-Users must adhere to this Agreement, the terms imposed by Application Stores, and applicable laws. 
  • Please read these terms carefully. If you do not agree or cannot comply, do not use the Platform or Services. By using them, you confirm that you understand and accept these terms. Violations may lead to legal liability. The Platform and Services are provided “as is,” and CAREAXES is not responsible for any issues arising from their use. 
  • CAREAXES does not endorse or recommend any Healthcare Service Providers. It makes no representations about the quality of services provided by these providers. 
  • The Services are intended for adults over 18. By registering, you confirm that you are at least 18 years old and legally capable of using the Services. 
  • Registration information must be accurate and up-to-date, with valid government identification. 
  • Login details should not be shared or transferred. Registered Users are responsible for maintaining the confidentiality of their login credentials. 
  • The Platform and Services should only be used in accordance with this Agreement and applicable laws. Unauthorized activities or disruptions are prohibited. 
  • CAREAXES may use End-User content for improving the Platform, enhancing services, and providing analytics. 
  • CAREAXES reserves the right to modify the Platform and Services and will notify End-Users of updates. All End-Users may be automatically upgraded to new versions. 
  • The sole remedy for any issues with the Platform or Services is to stop using them. CAREAXES and its affiliates are not liable for any direct or indirect losses arising from their use. 
  • Third-party website links on the Platform are not endorsed by CAREAXES, which is not responsible for their content or practices. 
  • Advertisements on the Platform do not imply endorsement by CAREAXES. 

Content of the Services 

  1. The Platform offers: 
  • End-User content, including health information and communication records. 
  • CAREAXES content, including intellectual property and proprietary materials. 
  1. CAREAXES does not pre-screen End-User content but may remove or modify it if it violates the Agreement or applicable laws. Efforts will be made to notify affected End-Users. 

Representations and Warranties 

  1. The End-User represents they are capable of entering into contracts, that their actions do not conflict with other agreements, and that they comply with applicable laws. They also warrant the accuracy of information provided. 
  1. The Company represents it is properly incorporated and has the authority to enter into and perform obligations under this Agreement. 

Access to the Website 

  1. CAREAXES may suspend access to the Platform or Services for investigation or any other reason at its discretion. 
  1. The Platform or Services may not be free from defects or interruptions. 
  1. CAREAXES does not guarantee content availability or appropriateness outside of India. Accessing the Platform from other locations is at the End-User’s risk. 
  1. If accessing the Platform for dependents, the responsible person is accountable for their records and obligations. 

End-User Content 

  1. End-Users must not share content that: 
  • Belongs to others without permission. 
  • Is harmful, illegal, or offensive. 
  • Violates intellectual property rights or laws. 
  • Contains harmful software. 
  • Threatens national security or public order. 
  1. CAREAXES uses industry-standard security but cannot guarantee access if login details are lost or compromised. 
  1. End-User content is not confidential, and CAREAXES may use it to improve services. 
  1. CAREAXES may use cookies and similar technologies to enhance user experience. 

Medical Information 

  1. The Platform provides general medical information for informational purposes only and is not a substitute for professional medical advice. 
  1. In emergencies, contact a qualified medical professional immediately. 
  1. CAREAXES is not engaged in providing medical services or advice. Content on the Platform should not be used for diagnosing health issues. 
  1. End-Users should not view Platform content as a guarantee of treatment or accuracy. 
  1. End-User content is provided “as-is” without validation from CAREAXES. 
  1. The Platform may have limitations in providing healthcare services due to the inability to conduct physical examinations. 

Intellectual Property 

All CAREAXES Content is protected by intellectual property laws. Unauthorized use or alteration of this content is prohibited. Nothing on the Platform grants any license or right to End-Users. 

Payment Policy 

  1. Services are offered at fixed fees, not subject to negotiation. 
  1. Payments for services must be made in advance via the Payment Gateway using accepted payment methods. 
  1. Payments flow from the Registered User to the Healthcare Service Provider, minus CAREAXES’s fee. CAREAXES is not responsible for transaction issues. 
  1. CAREAXES may introduce new services and modify fees at its discretion. 
  1. Billing credentials must be accurate, and End-Users must not evade payment. 
  1. Fees are exclusive of taxes. 
  1. Payments are complete once transferred to CAREAXES’s and Healthcare Service Provider’s accounts. 
  1. CAREAXES may modify the fee structure and notify End-Users of changes. Details provided during payment will be handled according to CAREAXES’s Privacy Policy. 

Refund and Cancellation Policy 

All CAREAXES Content is protected by intellectual property laws. Unauthorized use or alteration is prohibited.
